Post-Merger Integration & Carve-out.

When two organizations become one or a division is cleanly carved out: operational leadership that steers integration, realizes synergies and makes the business able to act from day 1.

POST-MERGER INTEGRATION

After a transaction, execution determines the value of the deal. Whether integrating two organizations or carving out a division, what's needed is someone who leads across entities and countries and makes execution able to act from day 1, realizes synergies, cleanly separates structures or brings them together.

With a clear target picture for organization, processes and responsibilities, and a governance that brings stakeholders along across all functions. From practice: organizational development across five entities in several countries and the buildout of a new business division.

Typical situations in integration and carve-out
As Interim CIIO I led the integration across five entities in several countries: First, a shared target picture: harmonized structures, clear responsibilities and an operating model that connects the five entities across borders into a unit able to act.

Operational processes in sales, marketing and customer success were brought together across the entities, interfaces cleaned up and synergies realized, without jeopardizing ongoing operations.

Result: an integrated organization with clear responsibilities, harmonized processes and a secured ability to act as the foundation for further growth.

Building a new business division and making it operational.
WBS · Head Innovative Training Concepts: As Head Innovative Training Concepts I built up an EdTech venture within the group and led it to market entry in just six months, effectively a carve-in with its own structure, own team and own business model.

From organization to processes and systems to team, everything had to work from day one, cleanly connected to the existing group and at the same time steerable independently.

This very ability, to make a unit fully operational from day one, is the core of successful carve-outs and integrations: structure, processes, systems and people mesh from the start.
Quick facts:
Built up an EdTech venture, market entry in six months.
Set up organization, processes, systems and team from scratch.
Clean connection to the group with independent steerability.
Day-1 operability as the standard, not as an aspiration.
Speed and structure combined, with clear prioritization.
Core competence:

Buildout from zero:

Setting up a new unit with organization, processes, systems and team to full operability in a short time.

Speed:

Market entry in six months: speed and structure are not mutually exclusive when priorities are clearly steered.

Connection & independence:

Cleanly connecting a unit to the group while keeping it steerable independently, the core question of every carve-out.

Business model:

Defining a viable business model for the new unit and aligning it for impact from the start.
